Terms of Service

1. Service Description

CarteFi is a cloud-based accounting software platform that provides double-entry bookkeeping, invoicing, bill management, bank reconciliation, financial reporting, and related business tools through a modular, a la carte subscription model.

By creating an account, you agree to these terms. If you are using CarteFi on behalf of a business, you represent that you have the authority to bind that business to these terms.

2. Account Responsibilities

• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate and complete information when creating your account.
• You must be at least 18 years old to create an account.
• You must notify us immediately if you suspect unauthorized access to your account.
• You are responsible for the accuracy of the financial data you enter into CarteFi. CarteFi is a tool -- it does not provide accounting advice.

3. Payment Terms

• Billing: CarteFi bills monthly or annually, depending on your chosen billing cycle. Your subscription renews automatically at the end of each billing period.
• Pricing: You pay only for the modules you enable. Prices are listed on our pricing page and in the app. Price increases are capped at CPI + 2% and communicated at least 90 days in advance.
• Free trial: New accounts receive a 14-day free trial with access to all modules. No credit card is required to start the trial.
• Refunds: We do not offer refunds for partial billing periods. If you cancel mid-cycle, you retain access through the end of your current billing period.
• Failed payments: If a payment fails, we will attempt to charge your payment method again and notify you by email. If payment is not received within 14 days, your account may be suspended.
• Annual billing: Annual prepayment qualifies for a 15% discount. Annual subscriptions are non-refundable for the remaining term after the first 30 days.

4. Data Ownership

You own your data. CarteFi does not claim any ownership rights over the financial data, documents, or information you store in our platform.

• You can export your complete data set at any time in CSV, JSON, or QuickBooks-compatible format.
• We do not sell, share, or monetize your financial data.
• We access your data only as necessary to provide the service, respond to support requests, or comply with legal obligations.
• Data export is free on every plan, always.

5. Acceptable Use

You agree to use CarteFi only for lawful purposes. You may not:

• Use the service to process transactions related to illegal activities.
• Attempt to access other users' or organizations' data.
• Reverse engineer, decompile, or attempt to extract the source code of CarteFi.
• Use the service in a way that could impair its performance or interfere with other users.
• Use automated tools to scrape, crawl, or extract data from CarteFi beyond what the API permits.
• Resell access to CarteFi without our written permission.

6. Limitation of Liability

CarteFi is provided "as is" without warranties of any kind, either express or implied.

• CarteFi is an accounting tool, not an accounting firm. We do not provide tax advice, audit services, or financial consulting.
• We are not liable for errors in your financial data, missed tax deadlines, or decisions made based on reports generated by CarteFi.
• Our total liability for any claim is limited to the amount you paid CarteFi in the 12 months preceding the claim.
• We are not liable for indirect, incidental, or consequential damages.

7. Termination and Data Retention

• Cancellation by you: You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.
• Data after cancellation: Your data remains accessible and exportable for 90 days after your subscription ends. During this period, your account is read-only.
• Data deletion: After the 90-day retention period, your data will be permanently deleted unless you request deletion sooner.
• Termination by CarteFi: We may terminate your account if you violate these terms. We will provide notice and an opportunity to export your data unless the violation involves fraud or illegal activity.

8. Governing Law

These terms are governed by the laws of the State of Colorado, United States. Any disputes arising from these terms or your use of CarteFi will be resolved in the courts of Colorado. Both parties agree to submit to the personal jurisdiction of those courts.

9. Changes to These Terms

We may update these terms from time to time. When we do, we will update the "Last updated" date and notify you by email at least 30 days before material changes take effect. Your continued use of CarteFi after the changes take effect constitutes acceptance of the updated terms.
